1. Introduction

Welcome to NextRole ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the NextRole website, browser extension, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by email. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Definitions

• "Service" means the NextRole website, browser extension, mobile applications (if any), and any related services.
• "User" or "you" means any individual who accesses or uses the Service.
• "Content" means any data, text, information, or other materials submitted, stored, or displayed through the Service.
• "Subscription" means a paid plan that provides access to premium features of the Service.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Use of the Service

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial job search purposes.

4.2 Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated tools (bots, scrapers, etc.) to access the Service without permission
• Upload malicious code, viruses, or harmful content
• Impersonate another person or entity
• Harvest or collect user information without consent
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble the Service
• Sublicense, sell, or transfer your account to another party

4.3 Browser Extension

The browser extension is subject to additional terms imposed by the browser's extension store (e.g., Chrome Web Store). By installing the extension, you also agree to comply with those terms.

5. User Content

5.1 Ownership

You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your Content solely for the purpose of providing the Service.

5.2 Responsibility

You are solely responsible for your Content. You represent and warrant that:

• You have the right to submit the Content
• The Content does not violate any third-party rights
• The Content is accurate and not misleading

5.3 Third-Party Job Postings

The Service allows you to save job postings from third-party websites. We do not own, control, or endorse these job postings. We are not responsible for the accuracy, legality, or availability of third-party job postings.

6. Subscriptions and Payments

6.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Free plans have limitations (e.g., maximum number of jobs). Paid plans provide access to additional features.

6.2 Payment

Payments are processed through our third-party payment provider, Stripe. By subscribing, you agree to Stripe's Terms of Service.

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for recurring payments

6.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• Your account will be downgraded to the free plan
• Your saved jobs will be retained (subject to free plan limits)

6.4 Price Changes

We may change subscription prices at any time. Price changes will apply to your next billing cycle. We will notify you of price changes in advance.

7. Intellectual Property

The Service and its original content (excluding User Content) are and shall remain the exclusive property of NextRole. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

8. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The results obtained from using the Service will be accurate or reliable
• Any defects in the Service will be corrected
• Third-party job postings are accurate, complete, or available

9. Limitation of Liability

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €100, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless NextRole and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property or privacy rights
• Any Content you submit to the Service

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and Content
• All provisions of these Terms that should survive termination shall survive

You may terminate your account at any time by contacting us at support@nextrole.app or through your account settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France.

If you are a consumer in the European Union, you may also have rights under the consumer protection laws of your country of residence.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at support@nextrole.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

EU consumers may also submit disputes to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and NextRole concerning the Service.
